These Terms & Conditions apply when you use www.indooils.com or buy products from IndoOils Naturals Private Limited ("IndoOils", "we", "us"). By using this website, requesting a quote or placing an order, you agree to them. Please read them together with our Privacy Policy, Shipping Policy and Refund Policy.

In short

• This is a business-to-business (B2B) platform. Bulk prices are given on a written quotation, not on the website.
• An order is confirmed only when we send you an order confirmation or proforma invoice.
• Bulk orders are paid by bank transfer. Online payment is not available for bulk orders.
• Prices are in Indian Rupees and GST is added as applicable.
• Our private online store is open only to customers we invite, and its own rules are in section 8.
• Our oils are concentrated natural ingredients for professional use. Always use them as directed and as allowed in your market.

1. About us

This website is operated by IndoOils Naturals Private Limited, B804, Galaxy Vega, Greater Noida West, Uttar Pradesh 201306, India (GSTIN 09AAJCI1122P1ZB). We supply essential oils, carrier oils, herbal extracts, oleoresins and related natural ingredients to manufacturers, brands, traders and other businesses.

www.indooils.com is a business-to-business (B2B) platform. You can use it to explore our products, download documents, request quotes and samples, and place bulk orders. We also run a private online store for selected customers, which is described in section 8.

2. Using this website

You agree to use this website only for lawful purposes. You must not:

• Try to break into, overload or disrupt the website or its systems.
• Copy, scrape or resell our content, product data or images without written permission.
• Send false enquiries, spam, or information that belongs to someone else.

We may suspend access for anyone who misuses the website.

3. Your account

If you create an account, keep your password private and tell us straight away at sales@indooils.com if you think someone else has used it. You are responsible for orders and enquiries made through your account. Please keep your company name, GSTIN and addresses up to date, because we use them on your invoices.

4. Product information

We take care to describe our products accurately. Because our oils and extracts are natural, colour, aroma and analytical values can vary slightly from batch to batch within the stated specification. Product photos are for illustration, and the actual packaging may differ.

The specification that applies to your order is the one on your quotation, Certificate of Analysis (CoA) or agreed specification sheet. If you need a particular grade, standard or document, please tell us before you order.

5. Quotations and prices

• Prices for bulk orders are shared on a written quotation and are not published on the website.
• A quotation is valid for 15 days from its date unless it says otherwise. After that, prices may change with crop and market conditions.
• Prices are in Indian Rupees (INR) unless the quotation states another currency.
• GST is charged extra at the applicable rate. Freight is either included in the quoted rate or shown separately, as stated on the quotation.
• For export orders, customs duties, import taxes and charges in the destination country are paid by the buyer unless agreed otherwise.

If a price on the website or a quotation is clearly wrong because of a typing or system error, we will contact you before processing the order and you may cancel without charge.

6. Placing and confirming an order

You can place a bulk order by accepting our quotation, or through your account on this website. An order is binding only when we confirm it in writing, by an order confirmation or proforma invoice. We may decline or cancel an order, with a full refund of anything paid, if a product is unavailable, the details provided are incomplete or incorrect, or we suspect fraud.

7. Payment for bulk orders

• Bulk orders are paid by bank transfer (NEFT, RTGS or IMPS) to the IndoOils account shown on our proforma invoice. Online payment by card or UPI is not available for bulk orders.
• Unless we have agreed credit terms with you in writing, bulk orders are paid in advance, before dispatch.
• Approved credit customers must pay within the period stated on the invoice, normally 30 days. We may hold further dispatches while payments are overdue.
• Bank charges on your side are paid by you. Please quote the order or invoice number with every payment.

We will never ask you to pay into a personal bank account. If you receive a request to pay into an account that is not in the name of IndoOils Naturals Private Limited, do not pay. Call us on +91 98990 04939 first.

8. Private online store

We run a private online store for selected customers. It is not open to the public.

• You can enter the store only through a personal access link and code that we send you. The link and code are for your use only and must not be shared.
• Each link is valid until the time shown on the store page, and may allow a limited number of orders.
• Store prices are shown to you inside the store. GST and the shipping charge are added at checkout and shown before you pay.
• Store orders are paid online through Razorpay (cards, UPI, net banking or wallets). Cash on delivery is not available.
• Your order is confirmed once your payment succeeds. We then email you an order confirmation and a GST tax invoice.
• We may close the store, change its products or prices, or end an access link at any time. Orders already paid are not affected.

9. GST and invoices

We issue a GST tax invoice for every order. To claim input tax credit, give us your correct GSTIN and billing address before dispatch. We cannot change a GSTIN on an invoice once it has been reported to the GST portal.

10. Delivery

Delivery is covered in our Shipping Policy. Delivery dates are estimates given in good faith. For export orders, risk and costs pass to you as set by the Incoterm on your quotation (for example EXW, FOB or CIF).

11. Cancellations, returns and refunds

These are covered in our Refund Policy. Please check your goods when they arrive and report any damage or shortage within 48 hours.

12. Safe and lawful use of our products

• Essential oils are highly concentrated. They must be diluted before use on skin and kept away from children, pets, eyes and open flames.
• Only products sold as food grade may be used in food or drinks, and only at levels allowed by FSSAI or the food law of your country.
• Our products are ingredients, not medicines. Nothing on this website is medical advice or a claim that a product treats any disease.
• As the buyer, you are responsible for checking that a product suits your application, and that your finished product, labels and claims meet the laws of the market where you sell it.
• Store products in a cool, dry place away from sunlight, in their sealed original packaging, and follow the Safety Data Sheet (SDS).

13. Private label and custom formulation

For private-label or custom orders, you confirm that you own or have permission to use any brand name, logo or artwork you give us, and you are responsible for the claims on your labels. Custom blends and branded packs are made to your order, so they cannot be cancelled once production or printing has started.

14. Samples

Samples are supplied for evaluation, not for resale. See our Sample Request Policy.

15. Intellectual property

All content on this website, including text, images, logos, product descriptions and documents, belongs to IndoOils or is used with permission. You may download our CoA, TDS and SDS documents for your own business use. You may not copy or republish our content without written permission.

16. Limitation of liability

We are responsible for supplying products that match the agreed specification. To the extent the law allows, our total liability for any order is limited to the invoice value of that order. We are not liable for indirect losses such as loss of profit, loss of business or the cost of finished goods made using our products.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under Indian law.

17. Events outside our control

We are not responsible for delays or failures caused by events beyond our reasonable control, such as floods, crop failure, strikes, transport disruptions, government action, epidemics or war. We will tell you promptly and do our best to minimise the impact.

18. Changes to these terms

We may update these terms from time to time. The version on this website when you place your order applies to that order.

19. Governing law and disputes

These terms are governed by the laws of India. We will always try to resolve any concern with you directly first. If that is not possible, the courts at Gautam Buddh Nagar, Uttar Pradesh will have exclusive jurisdiction.
